Terms of Service

01 Scope of these terms

These Terms of Service (the “Terms”) govern your access to and use of Luminar ERP (the “Service”), provided by Luminar ERP, Inc. (“Luminar,” “we,” or “us”). By creating a workspace or using the Service, the legal entity you represent (the “Customer”) agrees to these Terms.

If you are accepting these Terms on behalf of an organization, you represent that you have the authority to bind that organization. If you do not have that authority, do not create a workspace.

02 Accounts and workspaces

A workspace is created by a workspace owner and is the unit at which the Service is metered, billed, and isolated. Each workspace has its own data, users, and settings.

• You are responsible for maintaining the confidentiality of your credentials.
• You are responsible for actions taken under your account, including by anyone you invite to your workspace.
• We may suspend a workspace that we reasonably believe is being used to violate these Terms or applicable law.

03 Fees, billing, and trials

Paid plans are billed in advance, monthly or annually. The 14-day free trial requires no credit card; if you do not select a plan by the end of the trial, your workspace becomes read-only for 30 days and is then archived.

Annual plans are not refundable on a pro-rata basis. You may cancel at any time; your workspace remains active through the end of the paid period.

04 Customer data and ownership

You own all data you upload to the Service (“Customer Data”). You grant us a limited license to process that data solely to operate, maintain, and support the Service. We do not sell Customer Data and we do not use it to train external models.

You can export Customer Data as CSV at any time. On termination, we retain a backup copy for 30 days, then permanently delete it.

05 Acceptable use

You agree not to:

• Use the Service to violate law or the rights of others.
• Probe, scan, or test the vulnerability of the Service except via a coordinated security disclosure.
• Resell, sublicense, or white-label the Service without a written agreement.
• Upload malicious code, infringing content, or sensitive data we have not agreed to host (e.g. healthcare or payment-card data outside our published scope).

06 Availability and SLA

We target 99.9% monthly uptime for the Growth plan and 99.95% for Enterprise, excluding scheduled maintenance windows announced in advance. SLA credits are detailed in your plan and require a written claim within 30 days of the incident.

07 Termination

You can terminate at any time from workspace settings. We may terminate for material breach if not cured within 14 days of written notice, or immediately for breach of Acceptable Use.

08 Warranties and disclaimers

The Service is provided on an “as is” basis, except as expressly stated in these Terms or in a signed enterprise agreement. We do not warrant that the Service will be uninterrupted or error-free.

09 Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, consequential, or punitive damages. Our aggregate liability for any claim is limited to the fees paid by Customer for the Service in the 12 months preceding the claim.

10 Governing law

These Terms are governed by the laws of the Republic of the Philippines. Any dispute will be brought in the courts of Makati City, Metro Manila.
